Bird Bam Tiles Wholesale Terms & Conditions 

Effective Date: November 12, 2025 

These terms and conditions ("Agreement") govern the wholesale relationship between the retailer ("Retailer") and Bird Bam Tiles ("BBT") and apply to all wholesale orders unless otherwise agreed in writing. 

By submitting a wholesale application, placing an opening order, or purchasing any products from Bird Bam Tiles, the Retailer agrees to be bound by the terms set forth in this Agreement. The Agreement applies to all transactions between Bird Bam Tiles and the Retailer unless otherwise agreed in a separate signed written contract.

Bird Bam Tiles reserves the right to amend these Terms and Conditions at any time. Current Retailers will be notified of material changes in writing. Continued purchasing following notice of any amendment constitutes acceptance of the updated terms. 

 

1. Our Product Lines

Bird Bam Tiles offers two distinct product categories available to wholesale partners:

  • Mahjong Products: Mahjong tiles, mats, rack and pushers, and accessories.
  • Lifestyle Products: Stationery, home goods, and apparel

 

2. Wholesale Account Types & Opening Order Requirements

BBT offers two wholesale account types. Retailers must select one account type upon application. Account type determines eligible product categories and the applicable Opening Order minimum.


2.1 Account Type A - Mahjong & Lifestyle

  • Account Type A permits Retailer to purchase and sell both Mahjong Products and Lifestyle Products.

  • Opening Order Minimum for Account Type A is $1,200.

  • Opening Order must include at least one Mahjong Product SKU.

  • There is no minimum reorder.

 

2.2 Account Type B - Lifestyle Only

  • Account Type B permits Retailer to purchase and sell both Lifestyle Products only. Mahjong Products are not available for purchase under this account type unless Retailer upgrades as set forth in Section 3.3.
  • Opening Order Minimum for Account Type B is $400. 
  • There is no minimum reorder.

 

2.3 Upgrade from Account Type B to Include Mahjong Products:

A Retailer with an established Account Type B may elect to add Mahjong Products to their assortment at any time by notifying Bird Bam Tiles in writing. The first purchase order placed by Retailer that includes any Mahjong Products must meet a minimum order value of $1,200, regardless of the size or value of any prior orders placed previously under Account Type B. 

This one-time minimum reflects the Account Type A Opening Order requirement. Following completion of this qualifying order, no Reorder minimums apply and Retailer's account will be reclassified to Account Type A.

 

3. Retailer Eligibility and Brand Alignment 

Bird Bam Tiles partners with shops that reflect the Bird Bam Tiles point of view - prioritizing quality, a strong customer experience, and a curated assortment of complementary brands.

  • Retailers must operate at least one brick-and-mortar location within the United States. BBT does not currently offer wholesale accounts to international retailers.
  • All applications are subject to review and approval by Bird Bam Tiles at its sole discretion. Submission of an application does not constitute approval or guarantee of a wholesale account.
  • We reserve the right to review and evaluate all wholesale applications and may approve or deny accounts at our sole discretion. 
  • To apply: Retailer must submit: (a) completed Bird Bam Tiles wholesale application form; (b) a valid business license or seller's permit; (c) brief description of the retail business and primary customer base.
  • Approval decisions will be communicated within 5-7 business days of receipt of a complete application.
  • BBT reserves the right to decline any application or revoke an approved account at any time, with or without cause, subject to fulfillment of any outstanding confirmed orders. 

 

4. Orders & Fulfillment

  • All purchase orders must be submitted through BBT wholesale portal or by emailing wholesale@birdbamtiles.com. Verbal orders are not binding.  
  • Confirmation of an order constitutes acceptance. BBT reserves the right to reject or cancel any order in whole or in part.
  • Retailer is responsible for shipping costs under $1200.
  • All orders under $1200 will be charged $40 flat rate shipping.
  • Orders ship within 7-10 business days of payment receipt.
  • BBT is not responsible for shipping delays once items have left BBT facility.

 

5. Pricing & Payment 

  • Payment for all orders is due in full at the time the order is placed.
  • Bird Bam Tiles accepts payment via major credit card and ACH transfer.
  • All prices are listed in U.S. dollars. BBT reserves the right to adjust wholesale pricing with reasonable advance notice to active Retailers.

6. Minimum Advertised Price (MAP) & MSRP Policy 

Bird Bam Tiles maintains a Minimum Advertised Price (MAP) policy for all Products. 

 

6.1 MSRP – Manufacturer’s Suggested Retail Price 

  • Wholesale prices are set at 50% MSRP.
  • All public advertising of BBT products must display MSRP unless BBT has expressly authorized a discount under the MAP policy.
  • This applies to all forms of advertising including but not limited to:
    • Websites
    • Social media
    • Digital ads
    • Email marketing
    • Print materials

 

6.2 MAP – Minimum Advertised Price 

  • The Retailer agrees not to advertise any Bird Bam Tiles Product at a price below the applicable MAP in any medium, including but not limited to:
    • Physical in-store signage
    • Print materials
    • Websites
    • Email marketing
    • Social media
    • Third-party online marketplaces
  • MAP restrictions apply to advertised prices only and do not restrict the actual in-store transaction price at the point of sale.
  • If Bird Bam Tiles authorizes a promotion, MAP sets the lowest price that may be advertised publicly.
  • A first violation of the MAP policy will result in written notice from Bird Bam Tiles requiring correction within 48 hours. A second violation may result in suspension or permanent termination of the Retailer's wholesale account at Bird Bam Tiles' sole discretion.  
  • BBT reserves the right to adjust MAP pricing and will notify Retailers of any changes in writing.

 

6.3   Online Sales Restrictions

Online orders may not be advertised or sold at discounted prices below MSRP unless explicitly approved in writing by BBT for a specific event or campaign. 

This applies to: 

  • Website listings
  • Social media advertising or posts
  • Email campaigns, digital coupon codes, or sitewide promotions
  • Private discounts (e.g., in-store, over the phone, or individual quotes) may be offered, but the advertised price online must always reflect MSRP unless BBT authorizes a temporary MAP exception. 

 

7. Order Cancellations & Changes

  • Orders may only be changed or canceled if they have not yet shipped and/or within 48 hours of order submission-whichever comes first.
  • Changes after this period may not be guaranteed and are at the sole discretion of BBT.
  • BBT reserves the right to impose order limitations on certain items at any time due to high demand and limited availability. These limitations may include maximum unit quantities per order, per account or per location. 

 

8. Returns, Defective Products & Claims

  •  BBT does not accept returns of non-defective merchandise. All sales are final unless otherwise expressly agreed in writing.
  • The Retailer must inspect all shipments upon receipt. Claims for defective, damaged, or incorrectly shipped Products must be submitted in writing to wholesale@birdbamtiles.com within 7 days of receipt of the shipment. Claims submitted after this period will not be accepted.
  • Claims submitted must include:
    • Applicable order number
    • Written description of defect or discrepancy
    • Clear photographic documentation of the affected Products and packaging.
  • Approved claims will be resolved via replacement or credit to the Retailers account. Monetary refunds will not be issued except at Bird Bam Tile's sole discretion. 

 

9. Resale & Brand Representation

  • Products purchased by Retailer are for retail resale only.
  • Resale of BBT Products through unauthorized third-party wholesale channels or to other wholesalers or distributors is expressly prohibited.
  • The Retailer agrees to represent the Bird Bam Tiles brand in a manner consistent with the brand's quality standards. Bird Bam Tiles may provide brand guidelines and the Retailer agrees to comply with such guidelines in all product display and marketing materials.
  • Use of Bird Bam Tiles trademarks, trade names, logos, or product imagery is permitted solely for the purpose of marketing and selling Bird Bam Tiles Products in accordance with brand guidelines provided by Bird Bam Tiles. Any other use requires prior written approval.
  • Modifying branding, logos, or product packaging is not permitted. 

 

 10. Territory & Exclusivity 

Bird Bam Tiles does not guarantee exclusivity unless agreed upon in writing.  Bird Bam Tiles does not zip code protect.

 

11. Right to Refuse or Revoke Wholesale Access

BBT reserves the right, at its sole discretion, to approve, decline, or revoke wholesale access at any time and for any reason.

 

12. Term & Termination

  • This Agreement is effective upon Bird Bam Tiles' written approval of the Retailer's wholesale account and remains in effect until terminated by either party.
  • Either party may terminate this Agreement at any time upon written notice to the other party. Termination does not affect the obligations of either party with respect to any confirmed orders outstanding at the time of termination.
  • Bird Bam Tiles may immediately suspend or terminate a Retailer's account, without prior notice, in the event of: (a) material breach of any term of this Agreement; (b) repeated MAP violations; (c) misrepresentation in the account application; or (d) conduct that Bird Bam Tiles determines, in its sole discretion, is harmful to the Bird Bam Tiles brand.


13. Limitation of Liability & Disclaimer

  • To the maximum extent permitted by applicable law, Bird Bam Tiles shall not be liable to the Retailer for any indirect, incidental, consequential, special, or punitive damages arising out of or related to this Agreement or the purchase or resale of Products, even if advised of the possibility of such damages.
  • Bird Bam Tiles' total liability to the Retailer for any claim arising under this Agreement shall not exceed the amount paid by the Retailer for the specific Products giving rise to the claim.
  • Products are provided "as is" as to merchantability and fitness for a particular retail purpose, except as expressly warranted in writing by Bird Bam Tiles.

 

14.  General Provisions:

  • This Agreement constitutes the entire agreement between Bird Bam Tiles and the Retailer with respect to the subject matter hereof and supersedes all prior or contemporaneous understandings, representations, or agreements.
  • No waiver of any term or condition of this Agreement shall be deemed a continuing waiver or a waiver of any other term or condition.
  • If any provision of this Agreement is found to be unenforceable, the remaining provisions shall continue in full force and effect.
  • The Retailer may not assign this Agreement or any rights hereunder without the prior written consent of Bird Bam Tiles.
  • BBT reserves the right to modify these terms and conditions at any time. Notices under this Agreement shall be provided in writing by email to the addresses on file for each party, or by such other means as the parties may agree in writing.
